2. Use of the Platform

 

2.1 Eligibility

  You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Platform. By using the Platform, you represent and warrant that you meet these eligibility requirements.

 

2.2 Prohibited Uses

  You agree not to use the Platform for any unlawful purpose, to engage in any activities that violate applicable laws or regulations, or to infringe upon the rights of others. Prohibited uses include but are not limited to:

 

  (a) Engaging in fraudulent, deceptive, or misleading activities.

  (b) Uploading or transmitting any viruses, malware, or other malicious code.

  (c) Attempting to gain unauthorized access to the Platform or any user accounts.

  (d) Interfering with the proper functioning of the Platform or circumventing its security features.

  (e) Harassing, defaming, discriminating against, or harming others based on gender, sexual orientation, religion, ethnicity,           race, age, national origin, or disability.

  (f) Violating the intellectual property rights of Adzylytics or third parties.

 

3. Intellectual Property

 

3.1 Ownership

  The Platform and its content are protected by intellectual property rights owned by Adzylytics or its licensors. You acknowledge that all rights, titles, and interests in and to the Platform, including any trademarks or logos, remain solely with Adzylytics or its licensors.

 

3.2 Use of Intellectual Property

  You are granted a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose. This license does not grant you the right to reproduce, modify, distribute, or create derivative works of the Platform or its content without prior written consent from Adzylytics.

 

4. Limitation of Liability

 

To the fullest extent permitted by applicable law, Adzylytics, its affiliates, directors, officers, employees, agents, suppliers, or licensors shall not be liable for any indirect, incidental, special, punitive, or consequential damages arising out of or in connection with the use of the Platform. This limitation of liability applies regardless of the theory of liability and even if Adzylytics has been advised of the possibility of such damages.

5. Indemnification

 

You agree to indemnify and hold Adzylytics, its affiliates, directors, officers, employees, agents, suppliers, and licensors harmless from any liabilities, losses, damages, or costs (including reasonable attorney’s fees) arising out of or in connection with your use of the Platform, violation of these Terms, or any claims or disputes arising from your actions or content.

 

6. Modifications and Termination

 

Adzylytics reserves the right to modify, suspend, or terminate the Platform or these Terms at any time without prior notice. You agree that Adzylytics shall not be liable for any modifications, suspension, or termination of the Platform or your access to it.

 

7. Governing Law and Jurisdiction

 

These Terms shall be governed by and construed in accordance with the laws of Pune, India, without regard to its conflict of laws principles. Any disputes arising from these Terms or theuse of the Platform shall be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra, India.

 

8. Severability

 

If any provision of these Terms is deemed invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be replaced with a valid and enforceable provision that most closely reflects the original intent of the parties.

 

9. Entire Agreement

 

These Terms constitute the entire agreement between you and Adzylytics regarding the use of the Platform and supersede any prior agreements or understandings, whether oral or written.
